Mr. Climan regularly negotiates and advises clients in a wide range of industries on a broad variety of acquisition transactions and related matters, including mergers, divestitures, auction transactions, tender offers, defensive strategies, going-private transactions, leveraged buy-outs and cross-border transactions. He has handled some of the most prominent acquisitions in the technology and life sciences sectors.

Mr. Climan was named one of the “100 Most Influential Lawyers in America” by the National Law Journal. He is an active member of the Committee on M&A, an international committee of the ABA’s Section of Business Law with more than 3,000 members. He was the Chair of that Committee from 2002 to 2006, and currently serves on the Committee's Executive Council.

Mr. Climan is a frequent author and lecturer on M&A-related topics. He moderates and participates in M&Arelated presentations at Harvard, Stanford and Columbia Law Schools and, as a member of the adjunct faculty at UCLA School of Law, he co-teaches a course titled Real World M&A. In addition, he co-chairs the annual National Institute on Negotiating Business Acquisitions.

Mr. Climan received his J.D. from Harvard Law School and his A.B. from Harvard College.

He has, for instance, advised, negotiated and directed the sale of a major drugstore chain and a major fast food chain. He has counseled a publicly listed Taiwanese garment firm in redistributing its production capacity under a regime of controlled liability risk exposure. He has advised a UK based insurance company on the transfer of its Philippine staff to a Japanese insurance company. He has handled the sale of the Philippine general insurance business of the same Japanese insurance company to its joint venture Philippine company. He also structured the licensing of a core exchange matching technology. He has given counsel on tax issues ranging from assessment disputes, tax litigation, tax refunds, corporate tax governance and tax treaty relief for multinational companies based in Belgium, Germany, the United States, France and Australia. He has had extensive experience in corporate structures, finance and cross border issues.

Mr. Cochingyan is a Professor at the Ateneo de Manila School of Law where he lectures on Business Law, Corporate Finance, Natural Resources, Real Estate Transactions, Agency, Trust & Partnership Law and Statutory Construction. The prestigious Ateneo Law Journal has also published his work on several occasions. He is a graduate of the University of the Philippines, College of Law.

Mr. Codiga has advised developers of a $200 million commercial renewable energy project on regulatory and environmental permitting and compliance matters, represents a leading clean energy advocacy organization in a series of regulatory proceedings on innovative energy policies, and provides counsel on compliance with pending climate change laws regulating greenhouse gas emissions. He also regularly handles environmental litigation and dispute resolution concerning environmental review, air and water pollution control permitting and compliance, contaminated soil, and endangered species. Mr. Codiga frequently publishes, lectures and moderates discussions on clean energy, climate change, and environmental law and policy. He is an affiliate of the U.S. Sea Grant Center for Island Climate Adaptation and Policy and contributing author to a report analyzing regulatory takings claims and climate change-related regulation of coastal development, and has taught International Environmental Law and other environmental law courses as Adjunct Professor of at the University of Hawaii William S. Richardson School of Law. He was awarded a Graduate Fellowship from the East-West Center and graduated from the University of Hawaii School of Law with a J.D. and Certificate in Environmental Law in 1994, and received an LL.M. from Yale Law School in 1999.

He specialises in Asian tax planning and covers a wide variety of business sectors, ranging from funds structuring, financial institutions, venture capital businesses, investment fund managers, real property developers and investors, oil and gas and mining projects, to construction companies and retail businesses operating in one or more Asian countries. In this context, he works closely with local tax and legal experts in the various Asia Pacific countries. He is a guest lecturer on international tax law at the Flemish Business School in Brussels, where he teaches Asian Tax Law. Pieter is a member of the Executive Committee of the Singapore branch of the International Fiscal Association (IFA). He has written widely on Asian tax matters and is a member of the board of editors of the Asia Pacific Tax Bulletin, a publication of the International Bureau of Fiscal Documentation (IBFD).
